M1992-25 Review of Roles and Responsibility of Non Executive Directors on Boards, Authorities, Advisory Councils and Committees

On Friday, 31st July, I announced a review by the Office of Public Management of the Premier's Department into the roles and responsibilities of non executive directors appointed by the Government to serve on the large number of organisations within the public sector.

In light of the current Commonwealth review of the Corporations Law and in particular the roles and responsibilities of non-executive directors and the general community pressure in Australia and overseas for greater accountability of non-executive directors, it is appropriate that we should review the current rules relating to non-executive directors in the N.S.W. public sector.

1 have asked the Office of Public Management to complete the review by mid November at the latest and 1 shall be discussing the recommendations and the implementation with Cabinet.

I am aware that in many instances appointments are falling due or have to be made in accordance with statutory requirements. Until the review is completed, any appointment of a non-executive director, member or part-time occupant of a position or an Advisory Council or Committee for a period of over 12 (twelve) months is to be refer-red to me through the D 1 rector General of the Premier's Department. The purpose is not to unduly restrict the process of appointment but to ensure that there is consistency in approach which allows the Government to implement whatever recommendations flow from the O.P.M. investigation.
